MAHIR – MASTER SERVICES AGREEMENT

DEFINITIONS

For purposes of this Agreement:

  • "Platform" means the Mahir website and related systems operated by Infinite Light L.L.C-FZ.
  • "Mahir" means Infinite Light L.L.C-FZ.
  • "User" means any person or entity accessing or using the Platform.
  • "Client" means a User seeking services.
  • "Freelancer" means a User offering services.
  • "Service Contract" means an agreement formed between a Client and Freelancer through the Platform, including milestone terms, scope descriptions, and platform communications.
  • "Milestone" means a defined unit of work and associated payment under a Service Contract.
  • "Dispute" means a disagreement regarding a Milestone raised within the Dispute Window.
  • "Dispute Window" means the period defined in Section 7.5.
  • "Processor" means a licensed third-party payment service provider used to process transactions on the Platform.

PLATFORM ROLE

Mahir provides a technology platform that enables Clients and Freelancers to enter into Service Contracts.

Mahir:

  • Is not a party to any Service Contract
  • Does not provide legal or professional services
  • Does not supervise or control service performance
  • Does not guarantee outcomes

Mahir is not a law firm and does not provide legal advice.

Nothing in this Agreement creates any agency, partnership, employment, or fiduciary relationship between Mahir and any User.

PAYMENT STRUCTURE

All payments on the Platform are processed through licensed third-party Processors.

  • Mahir does not hold, custody, or control User funds
  • Funds are held and managed by the Processor in accordance with its regulatory obligations
  • Mahir may issue payment instructions to the Processor based on Platform events (e.g., acceptance, dispute outcome)

All payments are denominated in AED unless otherwise stated.

Visa and MasterCard debit and credit cards in AED will be accepted for payment where supported by the applicable payment processor.

The displayed price and currency at the checkout page will be the same price and currency printed on the transaction receipt. The amount charged to the card will be shown in the cardholder's card currency in accordance with card issuer and payment processor requirements.

We will not trade with or provide services to individuals, entities, or jurisdictions subject to applicable sanctions restrictions, including OFAC sanctions requirements.

Cardholders should retain a copy of transaction records, this Agreement, and all applicable Platform policies and rules.

3.1

PAYMENT CONFIRMATION

Upon successful completion of a payment transaction, the Client will receive a payment confirmation by email. Payment confirmations are normally issued immediately and no later than 24 hours after successful payment processing.

SERVICE CONTRACT FORMATION

A Service Contract is formed when:

  • A Milestone is created and funded, and
  • The Freelancer accepts or commences work

The Service Contract consists of:

  • Milestone terms
  • Platform messages
  • Attached files or scope descriptions

Users are solely responsible for defining scope, deliverables, and expectations.

FEES

  • Clients pay a payment processing fee as displayed at checkout
  • Freelancers pay a platform service fee as communicated on the Platform

Mahir may modify fees upon reasonable notice.

Applicable VAT may be charged on platform fees in accordance with UAE law.

Users are responsible for their own tax obligations.

MILESTONE LIFECYCLE

7.1 Funding

A Milestone is funded when payment is successfully processed by the Processor.

7.2 Commencement

Work is deemed commenced upon the earliest of:

  • Confirmation of start through the Platform
  • Submission of any draft or deliverable
  • Any activity indicating work has begun

7.3 Cancellation

A Client may cancel a Milestone only if work has not commenced.

Once work has commenced, cancellation is not available through the Platform.

7.4 Delivery and Acceptance

A Milestone is deemed accepted when:

  • The Client clicks "Accept" or equivalent function, or
  • The Dispute Window expires without a Dispute

7.5 Dispute Window

The Client has 3 calendar days from delivery to initiate a Dispute.

Failure to initiate a Dispute within this period constitutes acceptance.

PLATFORM DISPUTE RESOLUTION

If a Dispute is initiated within the Dispute Window, Mahir may review the matter based on available Platform evidence.

Evidence may include:

  • Milestone terms
  • Platform communications
  • Timestamps
  • File submissions
  • Revision history
  • System logs

The burden of proof rests on the alleging party.

Mahir may disregard unverifiable or altered evidence.

Failure to provide requested evidence may result in an adverse determination.

DISPUTE OUTCOME AND EFFECT

Users agree that:

  • Mahir has authority to determine allocation of the disputed Milestone amount for purposes of payment processing on the Platform
  • Mahir's determination is final with respect to payment instructions issued to the Processor

This determination:

  • Applies only to the allocation of funds within the Platform
  • Does not constitute arbitration or judicial determination
  • Does not limit either party's right to pursue legal remedies outside the Platform

CHARGEBACKS AND RECOVERY

Users agree not to initiate chargebacks in bad faith or in a manner inconsistent with Platform records and accepted terms. Users must first utilize the Platform's internal dispute resolution process to seek resolution of any issue related to a Service Contract before initiating a chargeback or external claim.

If a chargeback is initiated:

  • Mahir may provide evidence to the Processor and card networks
  • Mahir may suspend or terminate the User account
  • Mahir may recover losses through offsets or legal means

Refunds, where applicable, will be processed only through the Original Mode of Payment and are subject to payment processor and issuing bank timelines. Depending on the issuing bank, refunds may take between 10 and 45 days to appear on the cardholder's account.

FRAUD, AML, AND RESERVES

Mahir may:

  • Suspend accounts
  • Delay or restrict payouts
  • Establish reserves
  • Offset amounts

Where reasonably necessary to address:

  • Fraud risk
  • Chargebacks
  • AML or sanctions concerns
  • Regulatory requirements
10.1

SANCTIONS COMPLIANCE

Mahir does not provide services to individuals, entities, or jurisdictions prohibited by applicable sanctions laws or payment processor requirements.

Users may not use the Platform in violation of applicable sanctions, anti-money laundering, or counter-terrorism financing laws.

USER CONTENT AND EVIDENCE

Users are solely responsible for all content exchanged on the Platform.

Mahir is not responsible for:

  • Malware or harmful code
  • Data corruption
  • Intellectual property infringement
  • Confidentiality breaches

Users acknowledge that Platform data, including messages and system logs, may be used as evidence in dispute resolution.

Users indemnify Mahir for claims arising from content they upload or transmit.

PROCESSOR DEPENDENCY

Mahir is not liable for:

  • Processor outages or delays
  • Payment failures
  • Card network rules
  • Banking or regulatory actions affecting transactions

LIMITATION OF LIABILITY

The Platform is provided "as is".

To the maximum extent permitted by law, Mahir shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Data loss or system compromise
  • Business interruption

Mahir's total aggregate liability is limited to the total platform fees paid by the User in the twelve (12) months preceding the claim.

INDEMNIFICATION

Users agree to indemnify and hold harmless Mahir from claims arising from:

  • Breach of this Agreement
  • Service Contract disputes
  • Chargebacks
  • Regulatory violations
  • Content-related claims

This obligation survives termination.

INSOLVENCY

If a User becomes insolvent:

  • Mahir may suspend payouts
  • Offsets remain enforceable
  • Chargeback liability survives

SURVIVAL

The following provisions survive termination:

  • Payment obligations
  • Chargeback and recovery rights
  • Dispute authority
  • Indemnification
  • Limitation of liability

GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of the United Arab Emirates.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.

United Arab Emirates is our country of domicile.

Any purchase, dispute or claim arising out of or in connection with this Platform or website shall be governed and construed in accordance with the laws of the United Arab Emirates.

AMENDMENTS

Mahir may update this Agreement from time to time.

Changes become effective upon posting.

Continued use of the Platform constitutes acceptance.

RELATIONSHIP TO OTHER AGREEMENTS

This Agreement forms part of the Mahir legal framework.

In the event of conflict:

  1. Client Agreement or Freelancer Agreement (as applicable)
  2. This Master Services Agreement
  3. Terms of Use
