MAHIR – CLIENT AGREEMENT

This Client Agreement ("Agreement") governs the engagement of Freelancers through the Mahir Platform.

This Agreement must be read together with:

• The Master Services Agreement ("MSA")
• The Terms of Use

In the event of conflict:

3. The Terms of Use

Capitalized terms not defined herein have the meanings set out in the MSA.

The Client uses the Platform to engage Freelancers for services.

The Client acknowledges that:

• Mahir is a technology platform only
• Mahir is not a party to any Service Contract
• Mahir does not provide legal or professional advice
• Mahir is not a law firm

All services are provided solely by Freelancers.

Each engagement forms a Service Contract as defined in the MSA.

The Client is solely responsible for:

• Selecting Freelancers
• Defining scope, deliverables, and timelines
• Verifying Freelancer qualifications where required

Mahir is a technology platform that facilitates connections between Clients and Freelancers. Mahir may collect identity and supporting documentation as part of its onboarding process and may provide such information to payment partners and service providers where required for verification, onboarding, payment processing, and compliance purposes.

Clients acknowledge and agree that Mahir does not independently certify, endorse, or guarantee a Freelancer's professional qualifications, competency, performance, licensing status, legal eligibility, experience, certifications, suitability for a particular project, or the outcome of services delivered through the Platform.

Clients are solely responsible for evaluating the qualifications, experience, skills, suitability, and capabilities of any Freelancer before entering into a Contract or engaging services through the Platform.

Any profile information, portfolio materials, credentials, certifications, work history, recommendations, ratings, reviews, or other content provided by a Freelancer are supplied by the Freelancer or third parties and are not independently verified or guaranteed by Mahir unless expressly stated otherwise.

All payments are governed by the MSA.

The Client agrees that:

• Milestones must be funded before work begins
• Payments are processed through third-party Processors
• Mahir does not hold or control funds

The Client acknowledges that:

• Payment release is subject to acceptance or dispute outcome
• Processor timelines may affect transactions

The Client agrees to:

• Clearly define the scope of work for each Milestone
• Provide necessary information, materials, and access
• Respond to Freelancer communications in a timely manner

The Client acknowledges that:

• Work outside the defined scope is not required unless agreed
• Delays in Client input may impact delivery timelines

Acceptance of work is governed by the MSA.

The Client agrees that:

• Acceptance may occur through explicit approval or expiration of the Dispute Window
• Failure to respond within the Dispute Window constitutes acceptance

Once accepted:

• The Milestone is considered complete
• Payment will be released in accordance with the MSA

All disputes are handled in accordance with the MSA.

The Client acknowledges that:

• Disputes must be raised within the Dispute Window
• Mahir may determine allocation of funds for Platform payment purposes
• Such determination does not limit legal rights outside the Platform

The Client agrees not to initiate chargebacks in bad faith or in a manner inconsistent with:

• Platform records
• Accepted Milestones
• Dispute outcomes

If a chargeback is initiated:

• Mahir may provide evidence to payment processors
• Mahir may suspend or terminate the Client's account
• Mahir may recover associated losses

Refund eligibility and refund processing are governed by the Payment, Refund & Cancellation Policy and the Master Services Agreement.

Approved refunds, where applicable, will be processed only through the Original Mode of Payment.

Unless otherwise agreed in writing:

• Intellectual property rights in deliverables transfer to the Client upon full payment of the applicable Milestone

The Client acknowledges that:

• No rights are transferred prior to full payment

The Client agrees to:

• Maintain confidentiality of Freelancer information
• Use such information solely for purposes of the Service Contract

The Client acknowledges that:

• Communications via the Platform may not be protected by attorney-client privilege unless independently established

The Client acknowledges that:

• Freelancers are independent contractors
• No employment, agency, or partnership relationship is created

The Client is solely responsible for compliance with applicable laws relating to engagement of Freelancers.

The Client is responsible for:

• Any taxes applicable to their use of services
• Proper accounting and reporting treatment

Mahir is not responsible for Client tax obligations.

The Client may cease using the Platform at any time.

Mahir may suspend or terminate access:

• For breach of this Agreement
• For regulatory or risk reasons
• For misuse of the Platform

Termination does not affect:

• Existing Service Contracts
• Payment obligations
• Liability for prior conduct

Liability is governed by the MSA.

The Client remains responsible for:

• Compliance with Service Contract terms
• Proper use of deliverables
• Legal use of services obtained

The Client agrees to indemnify Mahir against claims arising from:

• Breach of this Agreement
• Misuse of services or deliverables
• Chargebacks or payment disputes
• Regulatory violations

This obligation survives termination.

The Client acknowledges that:

• Platform data (messages, files, logs) may be used in dispute resolution
• Mahir may monitor Platform activity for security and compliance

This Agreement is governed by the laws of the United Arab Emirates.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.

We will not trade with or provide any services to OFAC and sanctioned countries.
