MAHIR – FREELANCER AGREEMENT

This Freelancer Agreement ("Agreement") governs the provision of services by Freelancers through the Mahir Platform.

This Agreement must be read together with:

• The Master Services Agreement ("MSA")
• The Terms of Use

In the event of conflict:

2. The MSA
3. The Terms of Use

Capitalized terms not defined herein have the meanings set out in the MSA.

The Freelancer is an independent contractor.

Nothing in this Agreement creates:

• An employment relationship
• A partnership or joint venture
• An agency relationship

The Freelancer:

• Controls the manner and means of performing services
• Is solely responsible for their business operations
• Has no authority to bind Mahir

The Freelancer agrees to:

• Provide services in accordance with each Service Contract
• Perform services with reasonable skill, care, and professionalism
• Deliver work consistent with agreed scope and timelines

The Freelancer is solely responsible for:

• The quality, legality, and accuracy of services
• Compliance with applicable laws and regulations

The Freelancer represents and warrants that:

• They are legally permitted to provide the services offered
• They hold any required licenses, qualifications, or approvals
• They will not engage in unauthorized practice of law or regulated activities

The Freelancer shall not:

• Misrepresent qualifications or experience
• Offer services prohibited under UAE law
• Provide services in jurisdictions where they are not authorized

Mahir does not verify or guarantee Freelancer credentials.

The Freelancer bears full responsibility for regulatory compliance.

The Freelancer represents, warrants, and agrees that they will maintain all legal authorizations, permits, licenses, registrations, approvals, and other requirements necessary to provide services and receive payments through the Platform.

The Freelancer must promptly notify Mahir of any change that may affect their eligibility to provide services, receive payments, satisfy onboarding requirements, or comply with applicable laws and regulations.

Without limiting the foregoing, a Freelancer who is employed by another employer in the United Arab Emirates and provides services through the Platform as an individual is solely responsible for obtaining any approvals, permits, consents, no-objection certificates, part-time work permits, or other authorizations that may be required under applicable laws and regulations.

Freelancers are solely responsible for independently determining their legal eligibility to provide services and receive payments through the Platform. Mahir does not provide legal, immigration, employment, tax, or regulatory advice and does not determine whether a Freelancer is legally permitted to undertake any particular engagement.

The Freelancer agrees to provide updated documentation, information, and supporting evidence upon request and to ensure that any documents previously provided remain accurate, complete, and current.

The Freelancer is responsible for monitoring the validity of any permits, licenses, registrations, approvals, Emirates ID, residency status, or other documentation relevant to their eligibility and must provide updated documentation before the expiration of previously submitted documents where requested by Mahir.

The Freelancer represents that they are acting on their own behalf and not as an undisclosed agent, nominee, intermediary, or representative of another person unless expressly disclosed to and approved by Mahir.

The Freelancer agrees to cooperate with reasonable requests from Mahir or its payment processors relating to identity verification, compliance reviews, transaction verification, source-of-funds inquiries, sanctions screening, fraud prevention measures, onboarding requirements, payout verification, or regulatory requirements.

If Mahir reasonably determines that a Freelancer's eligibility cannot be verified, required documentation has expired, information is inaccurate or incomplete, additional compliance review is required, or payment processor requirements are not satisfied, Mahir may suspend account functionality, restrict platform access, delay or withhold payouts, request additional documentation, or take any other action reasonably necessary to satisfy legal, regulatory, payment processor, compliance, fraud prevention, or risk-management requirements.

Payouts may remain suspended until the requested information or documentation has been provided and reviewed.

The Freelancer remains solely responsible for maintaining continuous compliance with all applicable legal, regulatory, tax, licensing, employment, immigration, and payment eligibility requirements.

The Freelancer represents and warrants that:

• They are not subject to any applicable sanctions, restrictions, or prohibitions imposed by the United Arab Emirates, United Nations, United States Office of Foreign Assets Control (OFAC), United Kingdom, European Union, or any other applicable sanctions authority.
• They are not acting on behalf of, owned by, or controlled by any sanctioned individual, entity, or jurisdiction.
• They will not use the Platform in connection with any prohibited transaction, sanctioned party, or restricted activity.

Mahir reserves the right to conduct compliance screening, request additional information, suspend services, withhold payments where legally required, and terminate accounts where sanctions concerns are identified or regulatory obligations require such action.

The Freelancer acknowledges that:

• Mahir is a technology platform only
• Mahir is not a law firm and does not provide legal advice

Any professional relationship is solely between Freelancer and Client.

Each engagement with a Client forms a Service Contract as defined in the MSA.

The Freelancer agrees that:

• Scope, deliverables, and timelines must be clearly defined
• Platform communications form part of the Service Contract
• Work must align with agreed Milestones

All payments are governed by the MSA.

The Freelancer agrees that:

• Platform service fees will be deducted as communicated
• Payments are processed through third-party Processors
• Mahir does not hold or control funds

The Freelancer acknowledges that:

• Payment release is subject to milestone acceptance or dispute outcome
• Processor timelines may affect payout timing

The Freelancer agrees not to:

• Solicit or accept payment outside the Platform
• Divert Clients introduced through the Platform

This restriction applies:

• During the term of Platform use, and
• For a period of 12 months following the last interaction with the Client

Violation may result in:

• Account suspension or termination
• Recovery of lost fees
• Legal action

Unless otherwise agreed in writing:

• Intellectual property rights in deliverables transfer to the Client upon full payment of the applicable Milestone

Until full payment is received:

• The Freelancer retains ownership of all work product

The Freelancer warrants that:

• Deliverables do not infringe third-party rights

The Freelancer agrees to:

• Maintain confidentiality of Client information
• Use such information solely for performance of services

The Freelancer acknowledges that:

• Communications via the Platform may not be protected by attorney-client privilege unless independently established

The Freelancer shall not:

• Engage in fraudulent, deceptive, or misleading conduct
• Upload malicious code or harmful content
• Misuse Platform systems or data
• Harass or abuse Clients

Mahir may suspend or terminate accounts for misconduct.

The Freelancer is solely responsible for:

• VAT registration and compliance
• Issuing invoices where required
• Payment of all applicable taxes

Mahir is not responsible for Freelancer tax obligations.

The Freelancer may stop using the Platform at any time.

Mahir may suspend or terminate access:

• For breach of this Agreement
• For regulatory or risk reasons
• For misuse of the Platform

Termination does not affect:

• Existing Service Contracts
• Payment obligations
• Liability for prior conduct

Liability is governed by the MSA.

The Freelancer remains fully liable to Clients for:

• Service performance
• Breach of Service Contracts
• Regulatory violations

The Freelancer agrees to indemnify Mahir against claims arising from:

• Breach of this Agreement
• Misrepresentation of qualifications
• Unauthorized provision of services
• Intellectual property infringement
• Regulatory violations

This obligation survives termination.

The Freelancer acknowledges that:

• Platform data (messages, files, logs) may be used in dispute resolution
• Mahir may monitor Platform activity for security and compliance

This Agreement is governed by the laws of the United Arab Emirates.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.

We will not trade with or provide any services to OFAC and sanctioned countries.
